Archived version. This is the Terms of Service, version 2.0, in force from 30 September 2026 to 18 October 2026. It has been replaced. Read the current version.
Applies to: tkscmlimited.com · lopsiii.com · findyummylove.com · tkscm.com, and every subdomain of each
The short version
This summary is not the agreement. The numbered terms below are. It appears here because terms nobody reads protect nobody.
- Most of what we publish is free, and much of it is meant to be taken and used. The LOPSIII model in particular is published so that others can adopt it.
- We sell three things: original artwork, commissioned writing and creative services, and consulting under separate contract.
- Our research is not advice and is not for sale. It records one method, including the periods in which it failed.
- We collect as little information as we can — nothing at all if you are only reading.
- There is no advertising on Sun’s work or on LOPSIII material. This is permanent.
- We make mistakes. Nothing here promises you a result of any kind.
1 · Agreement and scope
These Terms govern your use of the websites operated by tkscm, limited, a Hawaii limited liability company: tkscmlimited.com, lopsiii.com, findyummylove.com and tkscm.com, together with every subdomain of each of them (each a “Site”). This includes services we operate on a subdomain, such as The Mine.
“We”, “us” and “our” mean tkscm, limited. “You” means any person using a Site.
By using a Site you accept these Terms. If you do not accept them, do not use the Sites.
Our Sites are hosted and supported by third parties, including WordPress, Google (Blogger) and PayPal, together with Stripe. Their terms apply to you independently of these Terms.
Where a separate signed agreement covers your dealings with us, that agreement prevails over these Terms to the extent of any conflict.
Where these Terms and any rate sheet, quotation or published price list conflict, these Terms govern — except as to price for an engagement already accepted in writing.

Published without charge: [BLOG] The Lighthouse on tkscmlimited.com, including the TPDEARR research record. This is published material, not a product. Nothing within it is sold.
4 · Free material and permissions
You may read anything on the Sites and quote it with attribution. No permission is required.
LOPSIII Material is published to be adopted. You may use, adapt, implement and build upon it for your own business, without our permission and without payment. We ask one thing: do not represent any business as certified, endorsed or approved by us unless it is.
Clearinghouse Material remains ours until we release it. On release, the accompanying release notice governs that material. Where we state an intention to place released material into the public domain, we will do so by the most complete mechanism available to us under United States law at the time, and the release notice will identify that mechanism.
Nothing in this section grants rights in Sun’s Work. See §5.
5 · Sun’s creative work
Sun’s Work is her own. Reproduction, distribution, adaptation, resale or commercial use requires her written permission.
Quotation with attribution for commentary, criticism, scholarship or news reporting is permitted and welcomed.
This section does not apply to Commissioned Work, where ownership is determined by §8, or to a piece sold under §7A, where ownership of the Design passes to the buyer.
6 · Research and financial content
We publish two kinds of financial material, carrying different weight.
(a) The TPDEARR — a quarterly research report analysing a squad of equity assets over a twelve-to-eighteen-month horizon.
(b) The Lighthouse briefs — written analysis of artificial intelligence, market structure and antifragility, which may state position sizing, expressions, and explicit rules for entry and exit.
Both are subject to this section. The second is more specific and should be read more closely.
Neither is a security, a product, nor for sale. tkscm, limited is not an institutional investment firm, does not sell securities, and holds no commercial or partnership relationship with any participant in the securities industry.
We are not financial advisers, and none of this is advice. Nothing published on the Sites is personal financial advice, an offer to sell, or a solicitation to buy any security or instrument. We publish impersonally and identically to everyone, and we know nothing of your circumstances, objectives or risk tolerance. Where a brief states a size, a horizon or a monetisation rule, that is a record of our own reasoning for our own portfolio, not a recommendation to you.
Substantial artificial-intelligence assistance. Research Material is drafted with large language models and subsequently reviewed, corrected and annotated by a human author. Annotations presented in a contrasting hand are the human author’s; the surrounding analysis frequently is not. Language models produce confident, well-formed reasoning that is sometimes wrong. Our published record includes calls graded as mistaken for that reason. Read accordingly.
Performance figures are model returns, not realised returns. Where the TPDEARR states a squad’s gain or loss, that figure is computed from optimal entry and exit points within each squad’s defined window, determined retrospectively from published closing prices. It represents the result of perfect timing. It is not what any person earned, including us.
Our own participation. Members of tkscm, limited hold positions in some of the assets analysed, not all. Capital availability rather than conviction determines which. Assume partial participation at most.
We publish our failures. Calls that went against us remain on the Site, graded, at the same prominence as those that succeeded. A method that produces documented misses will produce further misses.
Sources. Data is drawn from publicly available sources, many of them non-English and distributed across the Pacific region. We treat a source as sufficiently reliable while the originating institution remains in good standing, and cease relying on it if that changes.
Any use you make of this material is at your own risk. We make no claim as to future events or your results.
7 · Purchases — goods
Currently sold: original, one-of-a-kind works by Sun through findyummylove, each listed with a registry number, designer and price.
Not yet on sale: branded study and work supplies through the findyummylove supply shop, The Depot. The supply shop is not open and takes no orders. When it opens, supply-shop goods will be made to order and shipped by a third-party fulfilment partner, on the terms in §7.7.
Eligibility. You must be at least 18 years old to place an order, or have the consent of a parent or guardian who accepts responsibility for it. The Sites are intended for an adult readership and are not directed to children.
7.1 Shipping destinations
We ship within the United States and to the Republic of Korea. We do not currently ship elsewhere.
Korean orders — read before ordering. Korean customs requires every individual importer to hold a Personal Customs Clearance Code (PCCC), mandatory for all shipments to private recipients including those below the duty threshold.
- You must supply a valid PCCC at checkout.
- Your name, mobile number and delivery postal code must match your PCCC registration exactly. Korean customs tightened this verification in February 2026; a mismatch will hold or return your parcel.
- Goods under USD 200 of United States origin generally enter duty-free under the KORUS free-trade agreement. 10% VAT still applies. Above that threshold, duty may apply.
- Korean orders ship delivered-at-place (DAP). You are the importer of record. Korean import VAT — currently 10% above the de-minimis threshold — and any duty are paid by you at customs clearance, not by us. We issue a KORUS declaration of origin with every shipment, which means most qualifying Hawaiʻi-made goods attract no duty — but the VAT applies regardless. On a $1,000 piece expect roughly $100; on a $10,000 piece roughly $1,000. We tell you this before you buy because we would rather you decided with the real number in front of you.
- International returns — two different rules, and the difference matters.
- Supply-shop goods and prints: we do not require the item back. Where a remedy under §7.5 applies, we refund without return shipping, because sending a low-value item across the Pacific costs more than the item.
- Original one-of-one work is different. There is exactly one, we do not remake it, and it cannot be replaced. Any return or withdrawal of an original piece requires the piece itself to come back to us, in the condition it arrived. We refund within three business days of its safe arrival.
7.2 Price, tax and payment
The price displayed at checkout is the price charged. Payment is processed by our payment providers; we neither see nor store card details.
Hawaii general excise tax. Hawaii taxes our gross receipts rather than taxing your purchase. We pass this through visibly where permitted.
| Rate | |
|---|---|
| State GET | 4.0% |
| Oʻahu county surcharge | 0.5% |
| Combined | 4.5% |
| Maximum visible pass-through | 4.712% |
Rates and county surcharges can change; we apply the rate in force on the date of your order. Shipping charges form part of gross income and are taxable when connected to a taxable sale, so GET applies to the delivery charge as well as the item.
7.3 Shipping terms
| Value | |
|---|---|
| Original pieces — domestic | Included in the price. Insured to full value · signature required on every piece, regardless of value |
| Original pieces — Republic of Korea | Included in the price. Insured · signature required · DAP: you pay import VAT at clearance (§7.1) |
| Prints and supply goods — domestic | $8 standard · $22 expedited |
| Prints and supply goods — Korea | At cost, shown before you pay |
| Dispatch window | Original pieces: within 5 business days. Prints and supply goods: 7–14 days, as they are made to order |
Delivery estimates are estimates. If we cannot ship within the stated window, we will tell you and offer a full refund.
7.4 Title and risk of loss
| What you bought | Title passes | Risk of loss passes |
|---|---|---|
| Original artwork | On delivery | On delivery. We insure the work and carry transit risk |
| Supply-shop goods | On delivery | On delivery |
| Clearinghouse Material | No title passes; a licence is granted | Not applicable |
| Commissioned Work | As set out in §8.4 | Not applicable |
| Consulting | As set out in the engagement agreement | Not applicable |
7.5 Returns
Goods are sold as-is and final. Original artwork and bespoke garments are not goods with a natural return cycle, and pricing reflects that.
Three circumstances are not returns, and we will always remedy them:
- The item never arrived. Full refund, or replacement where one exists.
- The item arrived damaged. Notify us within 14 days with photographs. Full refund. Buyers in the Republic of Korea: longer periods apply to you by law — see §7.5.1. Where anything in §7.5 is shorter or narrower than Korean law provides, §7.5.1 governs and Korean law wins.
- The item is materially not as described. A genuine discrepancy from the listing, not a matter of taste. Full refund on return in the condition received.
Supply-shop goods are covered by these three remedies in full. See §7.7.
7.5.1 Buyers in the Republic of Korea — your seven days
Korean law gives you a right we are not going to argue with. Under the Act on the Consumer Protection in Electronic Commerce, a buyer purchasing at a distance may withdraw within seven days of delivery, for any reason at all — not only because something is wrong. That right applies to what you buy from us, and we will honour it.
How it works, plainly:
- Tell us within seven days of the piece arriving.
- Send it back, in the condition it reached you. As Korean law provides, the cost of return carriage is yours where you are simply changing your mind. Where the item was damaged, never arrived, or was materially not as described, we pay — that is §7.5, and it is unaffected by any of this.
- We refund in full, within three business days of the piece arriving safely back with us.
A longer right, for a different problem. Where a piece is materially different from how we showed or described it, Korean law gives you longer than seven days: three months from delivery, or thirty days from when you realised, whichever applies. That is not a change of mind and we do not treat it as one — we pay the return carriage, and §7.5 governs the remedy. Where this conflicts with the 14 days in §7.5, this section wins for buyers in Korea.
Please read this part before you buy an original piece.
These are single objects. There is one. It took the time it took, and it will not be made again — not in another size, not in another colour, not next season. When a piece leaves, it leaves the record of the work as well as the studio: the archive, the provenance, and everything that piece would have gone on to be part of.
So we would rather you were certain. If you are unsure about the size, the fabric, the fit or anything else at all — write to us before you buy and we will tell you everything we know about it, honestly, including whatever is awkward. We would far rather answer twenty questions than sell you something you send back.
And if you do change your mind, the seven days are yours. We will not make it difficult, we will not dispute it, and we will not pretend the law says something else. We are asking for your care, not waiving your rights.
Clearinghouse Material and digital access are non-returnable once accessed.
7.6 Prints, photographs and other two-dimensional work
Prints and photographs are sold as objects. Nothing else passes with them.
They are produced in open editions. They are not limited, not numbered and not individually signed, and we produce them on demand rather than in a fixed run. More may be printed at any time.
You buy the print. Sun keeps the copyright. You may keep it, hang it, frame it, move it, lend it, give it away or resell the copy you bought. You may not reproduce it, print more of it, or use the image commercially.
This is the ordinary arrangement for art prints, and we mention it only so nobody has to guess. If you want rights in an image, write to us and we will talk about it — that is a separate agreement, not something a print carries by itself.
§7A does not apply to prints. Design buyouts cover original one-of-a-kind pieces only.
7.7 Supply-shop goods
The supply shop is not open. Nothing described in this section is on sale today, and no order for supply-shop goods can be placed until it opens.
When it opens, supply-shop goods will be made to order. Each item is produced after you order it and shipped by a third-party fulfilment partner. We have not yet chosen that partner. Before the supply shop accepts its first order, we will name the partner in our Privacy Notice, together with what it receives from us and why. No order will be taken before that notice is published.
Because each item is made for your order, supply-shop goods are final. We do not accept returns for a change of mind, including a change of size or colour.
The three remedies in §7.5 apply in full, and we honour them ourselves. If an item never arrives, arrives damaged, or is materially not as described — a misprint, a manufacturing defect, or the wrong item counts — tell us within 14 days of delivery with a photograph, and we will replace it or refund it, including the original shipping. Our obligation to you does not depend on what any partner agrees to fund. We do not require low-value items to be sent back (§7.1).
Buyers in the Republic of Korea keep the seven-day right in §7.5.1 for supply-shop goods as for everything else.
Shipping charges and dispatch times for supply-shop goods are set out in §7.3.
7A · Design buyout — what you receive when you buy a piece
Every original piece sold through findyummylove carries a Design: the pattern, the construction and the method by which it is made. When you buy the piece, you buy the Design. This section explains exactly what that means, what we promise, and what we do not.
7A.1 What you receive
You receive the physical piece, and you receive full ownership of its Design — all copyright and other rights in it that exist and are ours to give.
There are no strings. You may take the piece apart, draft from it, reproduce it, adapt it, manufacture from it at any scale, license it to others, resell it, or do nothing at all with it. There is no quantity limit, no territory limit, no time limit, no royalty, no reporting and no approval to seek. We do not ask to be told what you do, and we will not come back for a share of it.
We are not retaining a seat at your table. The point of this sale is that the Design leaves us.
One qualification, and it applies only to two-dimensional work — prints, drawings, paintings and exhibition photographs. United States law gives the artist certain moral rights in such works that a sale cannot transfer. They can only be waived, and we handle that at checkout. See §7A.9. Garments and accessories are not affected.
7A.2 Our promise — we take it off the market, permanently
Once a piece is sold, we will never sell, license, reproduce or approve anyone else to produce that Design. It is marked sold, withdrawn from availability, and it stays that way. This promise has no expiry.
What the promise covers is that specific Design — the pattern and the piece you bought.
What it does not cover is Sun’s general working vocabulary. She has recurring techniques, motifs, silhouettes and methods that appear across her work and will continue to appear in pieces made after yours. Buying one Design does not take her craft out of circulation, and we will not pretend otherwise.
7A.3 Prior use — what we tell you before you buy
Exclusivity going forward is not the same as exclusivity looking backward, and only we can know the history of a Design.
So every listing states whether the Design, or any substantial part of it, has appeared in a piece we have previously sold, given away or published. If it has, we say so, and we say where. If the listing does not say, the answer is no.
7A.4 What Sun keeps
Sun keeps the right to photograph, document, exhibit, archive and write about every piece she has made, including after it is sold. The listing and its images may stay published; the piece may appear in her portfolio, in exhibitions, in retrospectives and in books.
This is a right to show her own past work, not a right to produce from it. It does not reduce anything in §7A.1, and it does not let us make the piece again.
7A.5 What we warrant
We warrant these things, because they are within our knowledge:
- Sun created the Design.
- It has not been sold or licensed to anyone else, and after your purchase it never will be.
- Prior use, if any, is disclosed in the listing as described in §7A.3.
- The piece matches its description, including its materials, measurements and condition.
7A.6 What we do not warrant — please read this
We are able to tell you what we have done. We are not able to tell you what the law will do, or what other people have done, and we will not sell you a certainty we do not have.
WE DO NOT WARRANT THAT THE DESIGN IS PROTECTABLE BY COPYRIGHT, DESIGN PATENT OR ANY OTHER RIGHT. Under United States law, the useful aspects of a garment — its cut, fit, construction and function — are generally not protected by copyright, and the rights you receive may therefore be thin or, in some respects, nonexistent. You are buying the Design itself and our conduct in relation to it. You are not buying a monopoly, and we cannot give you one.
THE DESIGN AND THE PIECE ARE PROVIDED AS IS. WE EXPRESSLY DISCLAIM THE IMPLIED WARRANTY AGAINST INFRINGEMENT UNDER UCC §2-312(3) AND ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT OF THE INTELLECTUAL PROPERTY RIGHTS OF THIRD PARTIES. We have not searched any register of patents, designs or trade marks, and we do not know whether any third party claims rights in anything resembling the Design.
We also cannot promise that no one else will independently arrive at something similar, or that you will be able to stop anyone who copies you. Those outcomes are not ours to control.
If you intend to manufacture commercially from a Design, have it cleared by your own counsel before you tool up. We would rather say this plainly than have you discover it later.
7A.7 How the buyout is agreed
The buyout terms are shown on the purchase screen and you accept them there, by ticking the boxes before payment. Nothing is pre-ticked, and the terms are on the screen rather than behind a link.
We record what you agreed to: the full text of the terms as they read at that moment, the time, and the order. If these Terms later change, your purchase remains governed by the text you actually saw.
You also tell us at checkout whether you are buying as a business or as an individual. This determines which consumer-protection rules apply to your order, including under §7.5 and §7.5.1. It is a routing question asked in good faith; it is not a waiver, and ticking “business” does not remove rights that the law gives you as a consumer.
7A.8 Returns
A buyout does not change your return rights, and the rights in §7.5 and §7.5.1 apply unchanged. Where a piece is returned and the sale is refunded, the buyout is unwound: ownership of the Design reverts to us, and the piece returns to availability.
7A.9 Moral rights in two-dimensional work
This section applies only to prints, drawings, paintings and photographs produced for exhibition. It does not apply to garments or accessories.
Under the Visual Artists Rights Act, the artist of such a work holds rights of attribution and integrity — including the right to object to intentional distortion or modification of the work. These rights belong to the artist personally. They cannot be sold, assigned or transferred, and buying the work does not carry them.
Because a buyout of a two-dimensional piece would otherwise leave you unable to alter, take apart or reproduce what you bought, Sun waives those rights to you at the point of sale. The waiver:
- is signed by Sun personally, as the law requires — not by tkscm, limited;
- names the specific piece by its registry number; and
- lists the uses waived: reproduction, adaptation, modification, taking apart, and destruction.
The waiver is shown to you with the buyout terms and forms part of what you accept. It runs to you and to anyone you later pass the work to.
Sun does not waive the right of attribution — the right to be named as the author of what she made, and to disclaim authorship of what she did not. You may do as you wish with the work. We ask only that it not be presented as someone else’s.
8 · Commissioned work and creative services
We accept commissions for writing, editorial and related creative services. Published rates and service descriptions appear on the rate sheet at tkscm.com. Rates published there are indicative; the price for your commission is the price stated in your written quotation.
8.1 Formation
A commission is formed when we issue a written quotation stating scope, price, delivery date and ownership, and you accept it in writing. No commission is formed by an enquiry, a submitted form, or a published rate.
8.2 Scope and revisions
Each quotation states the deliverable, its length, and the number of revision rounds included, being two unless otherwise stated. Work beyond the stated scope is quoted separately before it is undertaken.
8.3 Payment and cancellation
- A deposit of 50% is payable before work begins, and is non-refundable once work has begun.
- The balance is payable on delivery.
- If you cancel after work has begun, you pay for work completed to that point.
- If we cancel, we refund all sums paid for work not delivered.
8.4 Ownership of commissioned work
Ownership is stated in each written quotation, and the quotation governs. In the absence of a contrary statement:
- On payment in full, you receive full rights to use the delivered work for the purpose described in the quotation.
- Where you need to own the copyright outright, the quotation will say so and will include a signed assignment. We do not take a restrictive position on ownership of work made to your brief, and we will not withhold it in order to negotiate.
- We retain the right to be identified as the author unless the quotation records otherwise.
- We may state that a commission took place in a portfolio or client list, unless you ask us not to.
8.5 Discretionary fee reduction
We reduce or waive fees at our discretion for work we consider mission-aligned, and maintain a standing offer to host writing sessions without charge within the State of Hawaii. A reduced or waived fee is a discretionary decision in each case. It creates no entitlement, no precedent, and no obligation to grant any future request.
9 · Consulting and proposals
Consulting engagements are governed by a separate written agreement. These Terms govern only your use of the Sites and the submission of a proposal.
9.1 Proposals create no engagement
Submitting a proposal, enquiry or brief through The Conduit or any other form on the Sites does not create a consulting engagement, a contract, or any duty on our part. We may decline any proposal without giving reasons.
9.2 Confidentiality of what you send
We will not publish or disclose the substance of a proposal you submit, except to our own advisers, and except where disclosure is required by law.
We do not, however, accept an obligation of confidence over unsolicited material. If you need a confidentiality agreement in place before disclosing something, tell us before you send it and we will consider signing one.
9.3 Unsolicited ideas
Designing business models is our principal activity, and the LOPSIII model exists to be adopted rather than owned. That openness runs in both directions, and it means we must be straightforward with you about what happens to what you send us.
What we will not do. We will not take your idea and give it to another client. We will not claim your work as ours, publish it, or reproduce your documents. Neither tkscm, limited nor its Members will seek to commandeer or re-appropriate intellectual property you submit.
What will happen, and what you are agreeing to. To advise you, we have to receive and consider your idea. Having considered it, we cannot unlearn it. The general lessons we draw — about labour, business structure, pricing and markets — become part of how we think, and they will inform our analysis and our advice to others. That is what makes advice worth having: every engagement is informed by every engagement before it.
By submitting material you accept that:
- we may already be working on, or may independently develop, something resembling what you send;
- general principles, methods and observations arising from your material may be incorporated into our broader analysis, without obligation, compensation or attribution; and
- you will not assert a claim against us in respect of work we develop independently.
The line between the two. We hold the distinction between your specific idea and what we learn in general seriously, and we apply it with care in both directions. If a particular matter needs stronger protection than this, tell us before you send it and we will consider a confidentiality agreement. Copyright in your documents remains yours.
10 · Submissions and user content
We do not currently publish contributions from readers. There are no comments, no product reviews and no uploads on any Site. The Conduit form reaches our inbox and is not published.
If that ever changes, the following applies, and we will say so here before it does:
- You retain ownership of what you submit.
- You grant us a non-exclusive, worldwide, royalty-free licence to host, display, reproduce and remove your contribution in connection with operating the Sites.
- You confirm that you hold the rights necessary to submit it and that it is not unlawful.
- We are not obliged to publish, retain or restore any contribution, and may remove or edit contributions at our discretion.
11 · Copyright complaints
If you believe material on a Site infringes your copyright, write to us at the address in §22 with: identification of the work, identification of the material complained of and its location, your contact details, a statement that you believe in good faith that the use is unauthorised, and a statement that your notice is accurate.
We will remove or disable access to material that is the subject of a valid notice. We may reinstate material following a counter-notice.

12 · Privacy
If you are only reading, we collect nothing. Our hosting platforms may collect usage data under their own policies.
If you purchase, commission or submit a proposal, we collect the information needed to fulfil it — typically a name, an email address and, for deliveries, a shipping address. Payment details go to our processors, not to us.
We do not sell your information. We share it only with the processors and fulfilment partners required to complete your order.
Our Privacy Notice contains the full account of what we collect, why, how long we keep it and what rights you have, and it governs where these Terms and the Privacy Notice differ. Read it at https://tkscmlimited.com/privacy-policy/.
13 · Advertising
There is no advertising on lopsiii.com, on findyummylove.com, or on Sun’s personal and artistic work. This is a permanent commitment rather than a description of current practice.
We do not currently serve advertising on any of our sites, and we earn no advertising revenue from them. tkscm.com is published on Blogger, and Google may display its own advertising there; those ads are not ours, we are not paid for them, and we do not control them.
If we introduce advertising in future — presently contemplated only for the fiction layer at tkscm.com — it will be clearly identifiable as advertising, and we will say so on this page. Advertising served by third parties is subject to their terms and data practices, not ours.
14 · Acceptable use, suspension and termination
Do not use the Sites to break the law, infringe the rights of others, misrepresent yourself as us, or interfere with the operation of the Sites. Do not scrape at a volume that degrades service for others.
We may suspend or withdraw access where you breach these Terms or act unlawfully. We will do so proportionately and, where circumstances allow, with notice.
Sections that by their nature should survive — §§4, 5, 8.4, 16, 17, 18, 19, 21 and 22 — survive termination.
15 · Third-party sites and services
The Sites link to third-party websites, platforms and marketplaces. We do not control them, do not endorse them by linking, and are not responsible for their content, products or practices. Your dealings with them are between you and them.
16 · Disclaimers
Everything on the Sites is provided as is and as available. We believe our information to be accurate and take care with it, but we do not warrant that it is complete, current or free of error, and opinions change without notice.
Nothing on the Sites is legal, tax, financial, investment or other professional advice. We are not tax professionals. Consult a qualified professional.
We do not warrant that the Sites will be uninterrupted, secure or error-free.
AS TO GOODS AND DESIGNS SOLD UNDER §7 AND §7A: WE EXPRESSLY EXCLUDE THE IMPLIED WARRANTY AGAINST INFRINGEMENT ARISING UNDER UCC §2-312(3), AND EXCLUDE THE IMPLIED WARRANTIES OF MERCHANTABILITY AND OF FITNESS FOR A PARTICULAR PURPOSE. Goods and Designs are sold as is and with all faults as to the intellectual-property rights of third parties. §7A.5 states the warranties we do give, and we stand behind those.
Nothing in this section excludes any warranty or right that cannot lawfully be excluded, and some jurisdictions do not allow these exclusions, in which case they apply to you only so far as the law permits.
17 · Limitation of liability
To the fullest extent permitted by law, tkscm, limited, its Members and its affiliates are not liable for indirect, incidental, special, consequential, punitive or exemplary damages arising from your use of the Sites or any material on them.
Where liability cannot be excluded, our total aggregate liability is limited to the greater of the amount you paid us in the 12 months preceding the claim, or $100.
Nothing in these Terms excludes liability that cannot lawfully be excluded, including liability for fraud, or for death or personal injury caused by negligence.
18 · Indemnification
You agree to indemnify tkscm, limited and its Members against third-party claims arising from your breach of these Terms or your unlawful conduct.
19 · Dispute resolution
Talk to us first. Before commencing proceedings, send written notice of your complaint to the address in §22, describing the issue and the resolution you seek. We will respond within 30 days. Most disputes resolve at this stage, and this step is a condition of bringing a claim.
Small claims are unaffected. Either party may bring a qualifying claim in small claims court without first following the process above.
Time limit. Any claim must be brought within two years of the event giving rise to it, to the extent that such a limit is enforceable.
20 · About the company
tkscm, limited is a Hawaii limited liability company, reformed locally in Hawaii, having originally been formed in Colorado in 2021.
We hold a Hawaii general excise tax licence and file periodic and annual GET returns. We maintain a registered agent in Hawaii and file the annual report required by the Department of Commerce and Consumer Affairs.
We currently have no employees. The company’s Members are its founder-owner-managers.
21 · Governing law and venue
These Terms are governed by the laws of the State of Hawaii, without regard to conflict-of-laws rules. The state and federal courts sitting in Honolulu, Hawaii have exclusive jurisdiction, and you consent to that venue.
We offer our services from the United States. Where we ship goods, the destinations available at checkout are the destinations we serve; we do not deliver elsewhere, and an order cannot be placed to a destination not listed. We do consult internationally, and enquiries from anywhere are welcome. Ordering or enquiring from outside the United States does not make the law of that place govern this agreement, and does not create an establishment, office or representative of tkscm, limited in that place.
Nothing in these Terms limits any right you have under the consumer protection law of the place where you live that cannot be waived by agreement.
22 · General
Entire agreement. These Terms, together with the Privacy Notice and any signed agreement between us, form the whole agreement between you and us regarding the Sites.
Severability. If any provision is held unenforceable, the remainder continues in force and the unenforceable provision is applied to the maximum extent permitted.
No waiver. A failure to enforce a provision is not a waiver of it.
Assignment. You may not assign your rights under these Terms. We may assign ours on a transfer of the business or its assets.
No third-party rights. These Terms confer no rights on any person who is not a party to them.
Events beyond our control. We are not liable for failure or delay caused by events outside our reasonable control, including carrier failure, customs action, platform outage, natural disaster and interruption of shipping to or from the Hawaiian Islands.
Accessibility. We aim to meet WCAG 2.1 Level AA across the Sites. If you encounter a barrier, write to us and we will address it and, where we can, provide the material in another form.
23 · Changes
We may update these Terms. Material changes will be noted at the top of this page with a date. Continuing to use the Sites after a change means you accept the updated Terms. Changes do not apply retroactively to a purchase or commission already made.
24 · Contact and how we communicate
We communicate in writing, by email and by messaging. All notices, quotations, order confirmations, support and correspondence relating to these Terms are sent and received this way. Please give us an email address you check.
Writing is how we do business. We keep a business telephone line, 808-272-2193, and it is the only number we use — but notices, quotations and orders are handled in writing, and we will never require a telephone number from you in order to buy from us or to submit an enquiry.
Where you are required to give notice to us under these Terms, notice by email to the address below is sufficient, and is treated as given on the day it is sent unless it bounces.
